Enterprise Verification Service Agreement
To use the LongCat API Platform enterprise verification service, you should read and comply with this Enterprise Verification Service Agreement (this "Agreement"), together with the LongCat Terms of Use, the LongCat AI Platform Terms of Use, the LongCat AI Platform Privacy Policy, and other relevant agreements.
This Agreement contains the terms and conditions applicable to your use of this Service and constitutes an agreement between you or the entity you represent ("you") and LUMINALAB PTE. LTD. . Please read all provisions carefully and fully understand them, in particular those exempting or limiting liability, as well as any separate agreements required for activating or using any service, and choose to accept or not accept them. Limitation and exemption provisions may be highlighted in bold to draw your attention.
Unless you have read and accepted all provisions of this Agreement, you are not entitled to use the enterprise verification service. Your operations and other conduct in using this Service shall be deemed to constitute your authorization to act on behalf of the entity you represent and your acceptance of and agreement to be bound by this Agreement. You represent and warrant that you have the authority to bind that entity to this Agreement.
1. Scope of the Agreement
1.1 Scope of applicable parties
This Agreement is entered into between you and LongCat in respect of your use of the enterprise verification service. "LongCat" refers to LUMINALAB PTE. LTD. and its operating affiliates that may provide the relevant services. "User" refers to a user who applies for the enterprise verification service and/or has been successfully verified, and may also be referred to as "you" in this Agreement. For purposes of this Agreement, "Service" means the enterprise verification service described herein.
1.2 Relationship between agreements and conflict of terms
This Agreement is a supplementary agreement to the LongCat Terms of Use and the LongCat AI Platform Terms of Use, forms an integral and inseparable part thereof, and together with them constitutes a unified whole. Where this Agreement conflicts with the foregoing, this Agreement shall prevail solely with respect to the Service.
This Agreement also includes relevant agreements, service statements, business rules, and announcement guidelines that LongCat may publish from time to time in respect of this Service (collectively, the "Special Rules"). Once officially published, such content shall form an integral and inseparable part of this Agreement, and you shall likewise comply with it. To the extent of a conflict between this Agreement and any Special Rules, this Agreement will prevail unless the applicable Special Rules expressly state that they prevail over a specified provision of this Agreement.
2. Definitions
2.1 LongCat API Platform (the "Platform"): the artificial intelligence model service open platform operated by LUMINALAB PTE. LTD.
2.2 Enterprise Verification: the process by which a Platform user submits enterprise information and completes verification, and upon LongCat's review confirming the authenticity of the enterprise entity, the account is upgraded to enterprise-verified status.
2.3 Enterprise Information: the information submitted by the user for enterprise verification, including but not limited to the organization name, country/region, organization email, and other information displayed on the verification page.
2.4 Business Verification Documents: official documents evidencing the existence and good standing of the enterprise, including but not limited to a Certificate of Incorporation, Business License, Commercial Register Extract, Company Registry Search Result, or Certificate of Good Standing.
2.5 Verified User: a user who has completed enterprise verification on the Platform.
2.6 Verification Information: all information submitted by the user to the Platform for the purpose of completing enterprise verification, including but not limited to Enterprise Information, Business Verification Documents, and review correspondence.
3. Purpose and Process of Enterprise Verification
3.1 Purpose of enterprise verification
To protect the lawful rights and interests of enterprise users, LongCat confirms, through enterprise verification, that the applying enterprise entity genuinely exists and is validly subsisting, and prevents individual users from falsely impersonating an enterprise to obtain enterprise-exclusive product benefits and services. Enterprise Verification does not constitute an endorsement by LongCat of a Verified User, its business, its authority, or its products or services.
3.2 The user may complete enterprise verification through the following method:
Self-submission and manual review:
(1) The user submits Enterprise Information on the Platform's enterprise verification page, including at minimum the organization name, country/region, and organization email, and uploads Business Verification Documents as required by the verification page.
(2) LongCat conducts manual review with reference to official registration materials.
(3) Where all review criteria are met, the enterprise verification is completed.
3.3 Verification process
(1) To apply for this Service, the user shall log in to the application page and submit relevant materials and information as prompted. When applying for this Service, you should carefully read and agree to this Agreement; your acceptance of this Service and your submission of materials and information shall be deemed to mean that you have read and agreed to be bound by this Agreement.
(2) After the user completes the online application and information submission, LongCat will commence the verification review within seventy-two (72) hours. The user shall actively cooperate with review requests and may check the review progress at any time. The foregoing timeframe is an estimate only and is not a service-level commitment.
(3) The user agrees that LongCat may, by itself or by engaging a third-party verification agency, verify and screen the materials and information submitted, and, after completing all review processes, independently determine whether the verification succeeds or fails, and grant enterprise-exclusive permissions accordingly. The user shall cooperate promptly and provide any reasonably requested supplementary information or documents.
(4) Upon completion of the review, LongCat will notify the user of the result by email or Platform notification: a user whose account qualification review succeeds will obtain enterprise-exclusive services; where the verification fails, LongCat will inform the user of the reason for failure to the extent reasonably practicable and permitted by applicable law, security requirements, and LongCat's internal compliance procedures.
3.4 The verification shall be deemed to have failed under any of the following circumstances: (1) the user still fails to satisfy the review requirements; (2) the user fails to complete the verification within thirty (30) days from the date of submitting the verification application; or (3) the materials, information, or results are inconsistent, inaccurate, incomplete, misleading, or otherwise fail to meet the requirements of this Agreement or the applicable verification criteria. Where the verification fails, the user may re-initiate a verification application, and the process and requirements shall be subject to those published on the Platform page.
3.5 Where the materials and information provided by the user to LongCat change, the user shall promptly take the following measures:
(1) If the materials and information change during the verification review process, the user shall immediately notify LongCat to update the relevant materials and information;
(2) If the materials and information change after successful verification, the user shall promptly apply to LongCat to supplement and change the relevant materials and information; and
(3) If LongCat discovers after successful verification that the materials and information are erroneous, the user shall promptly apply to supplement and correct the relevant materials and information.
3.6 The user understands and agrees that:
(1) The enterprise verification service is limited to the verification and screening of the materials and information submitted by the user. LongCat will conduct a reasonable and prudent documentary review of such materials and information, but within the scope of LongCat's lawful authority and reasonable capability, LongCat is unable to substantively examine the user's actual business, operations, and promotional activities, and provides no warranty in respect thereof.
(2) LongCat may, by itself or by engaging a third-party verification agency, verify and screen, including but not limited to, the following: whether the user has lawful entity qualifications and has obtained the corresponding rights or authorizations for providing the relevant services or content; the identity of the account operator and whether the account is operated with the user's express authorization; and other matters that LongCat or the third-party verification agency considers necessary to review.
(3) The user shall provide supporting documents for the above matters and bear the responsibility for the authenticity, legality, and accuracy thereof.
3.7 The content of the Verification Information is determined by LongCat based on the review outcome and generated after the account qualification review succeeds, mainly comprising information that can validly evidence the user's entity qualifications and rights. LongCat has the right to adjust the content and format of the Verification Information as needed for the standardized operation of the Platform. LongCat may display the verification status, badge, and the related Verification Information on the Platform and in connection with the user's account, subject to applicable law and the LongCat AI Platform Privacy Policy.
3.8 LongCat may require re-verification before expiry where it reasonably considers it necessary for security, legal, regulatory, or compliance reasons, or where it becomes aware of a material change in the user's Verification Information.
4. User Rights and Obligations
4.1 The user shall ensure that all materials and information provided to LongCat are true, lawful, accurate, and valid. Where the user's provision of services or content requires a license or filing under applicable laws and regulations, the user shall proactively declare it and submit the corresponding license or filing proof. Otherwise, LongCat has the right to refuse or terminate this Service. Where this causes damage to LongCat or any third party, the user shall compensate LongCat and, where applicable, the affected third party for the resulting losses, liabilities, penalties, costs, and expenses (including reasonable legal fees).
4.2 The user shall not use this Service through any channel not authorized by LongCat. LongCat shall not be liable for consequences such as verification failure or an excessively long verification process arising from causes not attributable to LongCat.
4.3 The user understands and agrees that the materials and information submitted are an important basis for the verification outcome. Any change in the materials and information may affect the verification result. The user shall promptly file a supplementary verification application upon any such change; otherwise, LongCat has the right to take measures against the user in accordance with this Agreement. Where LongCat suffers losses as a result, the user shall compensate LongCat in accordance with Section 4.1.
4.4 After the account qualification review succeeds, the user may obtain enterprise-exclusive permissions. When using such permissions, the user shall comply with laws, regulations, this Agreement, and the relevant service terms; otherwise, LongCat has the right to, without notice and at any time depending on the circumstances, take measures against the violating user's account, including but not limited to restricting or suspending the use of enterprise-exclusive permissions.
4.5 After successful verification, the user will be distinguished from other non-verified enterprise users by the verification badge. The user shall properly safeguard the account, password, API Key, and other account information and assets. Losses caused by the user's failure to properly safeguard such account information and assets shall be borne entirely by the user. The user shall promptly notify LongCat if it becomes aware of any actual or suspected unauthorized access to or use of its account, password, API Key, or other account credentials.
5. Rights and Obligations of the Platform
5.1 Except as otherwise provided in this Agreement or required by laws and regulations, LongCat will not disclose the materials and information provided by the user to any third party without the user's permission. To apply for this Service, the user authorizes LongCat to verify and screen the submitted materials and information by itself or through a third-party verification agency. Within the scope permitted by this Agreement, LongCat and the third-party verification agency will use professional encrypted storage and transmission methods for such materials and information to safeguard the security of the user's information. LongCat may also disclose Verification Information to its affiliates, service providers, professional advisers, competent governmental authorities, and other recipients where necessary to provide the Service, comply with applicable law, enforce this Agreement, protect the security or integrity of the Platform, or as otherwise permitted under the LongCat AI Platform Privacy Policy. LongCat will require its third-party verification agencies and service providers to protect Verification Information using appropriate confidentiality and security measures.
5.2 LongCat has the right to independently determine the review outcome based on the materials and information submitted by the user and the verification findings, and to activate enterprise-exclusive services. LongCat may refuse, suspend, revoke, or require re-verification where it reasonably determines that the applicable requirements are not met or that doing so is necessary to address fraud, security, legal, regulatory, sanctions, or compliance risks.
5.3 To provide, maintain, and optimize enterprise services and to safeguard and improve the security and reliability of enterprise services, LongCat has the right to reasonably use the enterprise qualification information submitted by the user when applying for enterprise verification, provided that LongCat will safeguard the security of the user's information in accordance with this Agreement. LongCat will not use Business Verification Documents for purposes unrelated to the Service except as permitted by applicable law, this Agreement, or the LongCat AI Platform Privacy Policy.
5.4 LongCat's processing of the the foregoing information, to the extent it constitutes personal data, is governed by the LongCat AI Platform Terms of Use, and the LongCat AI Platform Privacy Policy.
6. Trade Compliance
6.1 The user shall comply with all applicable export control, sanctions, and anti-sanctions laws and regulations. The user represents and warrants that it is not, and is not owned or controlled by, any person designated on any applicable sanctions list, and is not organized or resident in, or acting on behalf of any person in, any country or region subject to comprehensive sanctions or embargo.
6.2 The user shall not use, or permit the use of, the services in any manner that would cause LongCat to violate any applicable sanctions or export control laws, including but not limited to providing the services, directly or indirectly, to any person or in any country or region referred to in Section 6.1.
6.3 The user shall not submit, and shall not permit any person to submit on its behalf, any verification application using materials or information obtained from a sanctioned person or a restricted country or region.
6.4 LongCat has the right to conduct sanctions and restricted-region screening against the user's enterprise information and verification materials. Where any screening hit, applicable legal prohibition, or compliance risk is identified, LongCat has the right to refuse or terminate the verification, suspend or terminate the service, or take other necessary compliance measures, and shall not be liable for any loss arising therefrom to the extent permitted by law.
6.5 Where the user breaches this Section 6, resulting in any claim, demand, or loss asserted by a third party or any administrative penalty imposed on LongCat, the user shall bear the liability independently and indemnify LongCat against all resulting losses. This Section 6 will survive expiry or termination of this Agreement.
7. Legal Liability
7.1 Where the user passes the verification by providing false or forged information, LongCat has the right to revoke the verification, recover the enterprise-exclusive benefits, and reserves the right to pursue legal liability. LongCat may also suspend or terminate the user's access to the Service and the Platform to the extent permitted under the applicable Platform terms.
7.2 If LongCat discovers, or receives a report or complaint from others, that the user has breached this Agreement, LongCat has the right to, without notice and at any time depending on the circumstances, impose measures on the violating user's account, including but not limited to refusing to provide this Service, terminating the qualification review for this Service, requiring the user to supplement qualification review materials, requiring the user to modify the Verification Information, requiring the user to re-apply for verification, compulsorily modifying the account name and Verification Information, and revoking the verification.
7.3 The user understands and agrees that, where the user's breach of this Agreement or the relevant service terms causes or results in any claim, demand, or loss asserted by a third party, the user shall bear the liability independently; where LongCat suffers losses as a result, the user shall compensate LongCat for all resulting losses, liabilities, penalties, costs, and expenses (including reasonable legal fees).
7.4 To the maximum extent permitted by applicable law, LongCat will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings, arising out of or relating to the Service, even if advised of the possibility of such damages. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
8. Effectiveness and Amendment of the Agreement
8.1 The user's clicking "Agree" and completing the verification process shall be deemed as acceptance of this Agreement. This Agreement becomes effective on the earlier of the date on which the user clicks "Agree" or otherwise accesses or uses the Service.
8.2 LongCat has the right to amend this Agreement in accordance with changes in laws and regulations or business development needs. The amended agreement will be published on the Platform page, and the user may consult the latest version of the terms on the relevant service page. If you continue to use the enterprise verification service after the amendment of this Agreement, you shall be deemed to have accepted the amended agreement. If you do not accept the amended agreement, you should stop using the enterprise verification service. For material changes, LongCat will provide reasonable advance notice through the Platform, by email, or by another reasonable method.
8.3 If the dispute is not resolved through negotiation, it shall be finally settled by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Arbitration Rules in force at the time of filing. The arbitration shall be conducted in English by a panel of one (1) arbitrator appointed in accordance with the SIAC Rules. The seat of arbitration shall be Singapore. The arbitral award shall be final and binding on both parties. Nothing in this Section prevents either party from seeking urgent interim or conservatory relief from a court of competent jurisdiction.
8.4 This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws rules.
8.5 The headings of all provisions in this Agreement are for reading convenience only and carry no substantive meaning; they shall not serve as a basis for interpreting this Agreement.
8.6 If any provision of this Agreement is held invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding on both parties. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its intended commercial effect as closely as possible.
8.7 Notices
LongCat may give notices under this Agreement by posting them on the Platform, sending them to the email address associated with the user's account, or using another reasonable method. The user must keep its account contact information accurate and current. Notices from the user to LongCat must be sent through the contact channel identified on the Platform or any other contact method that LongCat designates in writing. A notice is deemed received when posted on the Platform, when sent by email without an error or bounce-back message, or when delivered by the applicable communication method.
8.8 Survival
Sections 1.2, 3.6, 4.1, 4.5, 5, 6, 7, and 8, together with any provisions that by their nature should survive, will survive expiry or termination of this Agreement.
8.9 Entire Agreement
This Agreement, together with the agreements and policies expressly incorporated by reference, constitutes the entire agreement between the parties regarding the Service and supersedes all prior or contemporaneous understandings regarding the Service.
